These Terms of Use (“TOU” or “Terms”) set forth the conditions under which visitors, users (“you”, “your”, “User”) may access, browse and use data-rooms.org and its associated services, content, platforms and functionalities (collectively referred to as the “Site”). By accessing or using any part of the Site, you confirm that you have read, understood and agreed to be bound by these TOU, as well as any additional terms that may apply to specific services or content. If you do not agree with any part of these TOU, you must immediately stop using the Site. Your continued use of the Site constitutes your acceptance of these Terms.
1. Acceptance and Modifications
data-rooms.org reserves the right to modify, update or amend these Terms at any time, at its sole discretion. Please review those additional terms when using specific services. In addition, these Terms do not govern data-rooms.org support products or services, which are subject to separate agreements.

You agree to comply with all applicable laws and regulations in connection with your use of the Site.

- “Contributor Material” refers to any posts, content, information, comments, opinions, reviews, suggestions or material submitted by users on certain pages or sections of the Site.
- “Site Content” includes, but is not limited to, all text, articles, images, videos, graphics, designs, data, software, scripts, and other materials provided by data-rooms.org, its licensors, and external contributors, displayed or made available through the Site.
- “External Resources” refers to any third-party website, application, platform, or service that is linked to, referenced, or available through the Site.
3. Use of the Site and Site Content
3.1 Authorized Use

- Commercial exploitation: Use of the Site Content for commercial purposes, to obtain direct financial benefits, for advertising purposes or for unauthorized promotional activities without express permission.
- Harmful or offensive behavior: Uploading, posting, transmitting or distributing any content that is illegal, harmful, abusive, harassing, defamatory, vulgar, obscene or otherwise objectionable.
- Malicious software: Introducing viruses, Trojans, worms, logic bombs or any other software designed to damage, interfere with or disrupt the operations of the Site.
- Data harvesting: Gathering, collecting or attempting to extract personal data, user information or proprietary details from the Site.
- Impersonation or misrepresentation: Falsely representing yourself as another user, an entity or a representative of data-rooms.org.
Violations of these prohibited activities may result in immediate suspension, termination and necessary legal action.
4. User-generated content
By submitting Contributor Materials to the Site, you retain ownership of your content, but you grant datarooms.,x a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, display, and otherwise exploit such materials in any medium or format. This license extends to new forms of content use permitted by law. In addition, you grant other users of the Site a non-exclusive license to access and use your Contributor Materials as permitted by these TOU.
data-rooms.org reserves the right to remove any user-generated content that violates these TOU, is illegal, offensive or deemed inappropriate at its sole discretion.
5. External links and third-party content
The Site may contain links to External Resources for information and convenience purposes. data-rooms.org does not endorse, control or assume any responsibility for the content, services, privacy policies, security practices or terms of use of third parties. Your interaction with any External Resource is at your own risk.
data-rooms.org disclaims any liability arising from your use of External Resources and offers no guarantees regarding their reliability, accuracy or availability.
6. Intellectual property rights
The Site and all associated intellectual property rights, including but not limited to trademarks, copyrights, design rights and patented technologies, are the property of data-rooms.org or its licensors. No license or ownership rights are granted to users, except as expressly set forth in these TOU. Any unauthorized use of the Site Content may constitute a violation of intellectual property laws.
If you provide comments, suggestions or improvements related to the Site, you grant data-rooms.org an unrestricted, royalty-free license to use, implement or commercialize such comments without any obligation to you.
7. Security and compliance
Users must not engage in any activity that compromises the security, integrity or availability of the Site. Any unauthorized access, data breach or disruptions may result in civil or criminal liability. data-rooms.org reserves the right to investigate suspected violations and may cooperate with law enforcement in prosecuting offenders.
8. Disclaimer of Warranties and Limitation of Liability
THE SITE AND ALL ITS CONTENT ARE PROVIDED “AS IS”, WITHOUT WARRANTIES OF ANY KIND. DATA-ROOMS.ORG DISCLAIMS ALL WARRANTIES, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
DATA-ROOMS.ORG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SITE. YOUR SOLE REMEDY FOR DISSATISFACTION IS TO STOP USING THE SITE.
9. Indemnification
You agree to indemnify, defend and hold harmless data-rooms.org, its affiliates, officers, directors, employees, agents and third-party partners (collectively, the “Indemnified Parties”) from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Site;
- Your violation of these Terms of Use;
- Your infringement or alleged infringement of any third-party right, including without limitation any intellectual property, privacy, or data protection right;
- Any misconduct, fraudulent behavior, or unauthorized activity carried out by you in connection with the Site.
data-rooms.org reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully in the defense of such claims. This indemnification obligation will survive the termination or expiration of these TOU and your use of the Site.
10. Limitation of Liability
To the extent permitted by applicable law, data-rooms.org, its affiliates, subsidiaries and licensors shall not be liable for any direct, indirect, incidental, special, consequential, punitive or exemplary damages arising out of or related to:
- Your use of or inability to use the Site;
- Errors, mistakes or inaccuracies in the content provided;
- Unauthorized access to or alteration of your data;
- Interruption or termination of services;
- Any external links, third-party resources or advertisements displayed on the Site.
Even if data-rooms.org has been advised of the possibility of such damages, your sole remedy for dissatisfaction with the Site or any services provided is to discontinue use. The total aggregate liability of data-rooms.org for all claims relating to the Site shall not exceed $1.00 USD or the lowest amount permitted by applicable law.
11. Applicable law and dispute resolution
These TOU shall be governed by and construed in accordance with the laws of England and Wales, without regard to its principles of conflict of laws.
Any dispute, controversy or claim arising out of or relating to these TOU, including the existence, validity or termination thereof, shall be settled by binding arbitration administered by the London Court of International Arbitration (LCIA). The arbitration shall be conducted under the LCIA Rules, which are incorporated by reference into this clause.
- The arbitration proceedings shall be conducted in English;
- The place of arbitration shall be London, United Kingdom;
- The decision of the arbitrator or arbitrators shall be final and binding on all parties;
- The costs associated with the arbitration shall be borne by the losing party, unless the arbitral tribunal determines otherwise.
Nothing in this section shall prevent either party from seeking injunctive relief in a court of law for any alleged breach of intellectual property rights or confidentiality obligations.
12. Termination
data-rooms.org reserves the right to terminate, suspend, or restrict your access to the Site at any time, with or without prior notice, for any reason, including, but not limited to:
- Breach of these TOU;
- Unauthorized use of the Site or its content;
- Violations of applicable laws and regulations;
- Conduct that may cause harm to data-rooms.org, its users or third parties.
Upon termination, all provisions of these TOU that are reasonably expected to survive termination shall remain in effect, including indemnification, disclaimers and limitations of liability.
